How's Your Business's Legal Health

This is a tool to help you gauge your business’s legal health and whether you need PROTECT & PLAN WORKBOOK. The following questions are a sample of very abbreviated legal health questions. This will help introduce you to a few subject areas that could cause trouble and lead to further review.

1. Do you know the legal consequences of the organization type selected for your business? Have you filed the necessary documents for the formation of your business? Have you filed the necessary IRS forms that go with your selected organization type?*
2. Are your annual meeting minutes up to date?*
3. Do you have an asset protection and risk management plan? Are you protected against a lawsuit from a customer, vendor or employee?*
4. Have you reviewed and updated your customer contracts? Do they comply with all Federal, State and local laws including the Consumer Protection Act and the Fair Debt Collection Act?*
5. Have you reviewed and updated your vendor and lease contracts? Now that your business is more established, have you reviewed and renegotiated the terms? Have you eliminated the personal guarantee provisions?*
6. Have you reviewed the IRS’s 20-point test to determine if any of your subcontractors or independent contractors could be reclassified as an employee? Do you have an employee handbook, interview practices and discrimination polices up to date to minimize liability for wrongful discharge claims?*
7. Have you reviewed your benefits packages in the last year for best pricing and coverage to ensure that you are being protected for the lowest cost?*
8. Do you have a business succession plan? Do you have a buy-sell agreement in the event of the divorce, disability, death or disassociation of an owner?*
9. Do you have a record retention policy that complies with federal, state and local laws including HIPAA and the Financial Privacy Act regarding corporate governance documents, credit card transactions, employment matters, licenses, insurance, taxes, real property, etc.?*
10. Do you have a disaster recovery plan in place that addresses: resource/incident management, emergency response, crisis communication, etc.?*
